项目摘要

相談役・顧問とは、社長等であった者がその地位を退いたあと、現役の経営陣への助言や対外活動の支援を行う目的で設けられた日本企業特有の役職である。他方、近年では、相談役・顧問が現役の経営陣に対して不当な圧力を及ぼしていることが指摘されており、その削減・廃止が迫られている。このような背景から、本研究は、相談役・顧問の役割や問題点を明らかにする。これまで情報開示規定が存在しなかったため、相談役・顧問の役割や問題点の解明が行われてこなかった。しかし、近年の社会的な要請により、2018年1月から「コーポレート・ガバナンスに関する報告書」においてその情報開示が始まっている。本研究の目的はこの開示制度を活用して、相談役・顧問に関するデータベースを構築し、その役割や問題点を実証的に明らかにすることにある。2022年度は、相談役・顧問制度を導入している企業の特性を明らかにした。検証の結果、現役の経営陣への助言や対外活動の必要性が高い企業には、相談役・顧問制度は導入されていない一方で、経営者の力が弱い企業や取締役会の人数が多い企業、また規模が大きく設立年数が古いような伝統的な日本企業ほど相談役・顧問を採用していることが明らかとなっている。また、相談役・顧問を採用している企業ほど将来の企業業績が低いことが確認されている。また2022年度は、退任間近にある経営者が相談役・顧問の役職を獲得するために機会主義的な行動を取るのかを検証している。分析の結果、退任間近にある経営者は、退任後に相談役・顧問の役職を獲得するために、会計的裁量行動を用いて利益を増加させていることが確認されている。また、この機会主義的な行動は、内部モニタリングが脆弱（強固）な企業ほど、強く（弱く）なることが確認されている。
