项目摘要

ベンチャー企業をめぐる法環境の整備について昨年に引き続き検討した。とりわけ、ベンチャー企業をはじめとする小規模事業体の直接金融手段について、米国の制度を研究した。具体的には、米国では1992年以来、小規模事業体の証券発行負担を軽減するために、1933年証券法規則254を制定したり、Regulation-Aの総額要件を緩和するなど、さまざまな措置をとっており、これら一連の政策においては、小規模事業体の企業内容開示をどのように促進させ、また、真実性を担保するかということが主たる関心事であることが理解できた。これはわが国の立法政策を考える上でも重要な視点となるであろう。この点から、本年度は公認会計士の法的責任について論考をまとめた。また、本年度になってから、証券取引法の大改正があり、ベンチャー企業にとっては直接金融の機会が増加することとなった。さらに、資金を提供する側のベンチャー・キャピタルに関しては、投資事業有限責任組合法が制定されるなど、ベンチャー企業の直接金融をめぐる法環境が改善されることとなった。しかしこれらの法整備は近年のわが国の金融政策からもたらされたものであり、投資家保護の視点がどの程度取り入れられているかは疑問である。そこで、少なくとも今後は、米国の研究から得られた視点を踏まえてこれらの改正等を検討する必要性が生じることになる。
