项目摘要

本研究は４年の研究期間を設定して進めている。令和４年度においては、これまでの研究で得られた知見をベースに、わが国において、事業の成長段階に応じて事業形態がどのように用いられ、法制度がそれを効率的に運用できるように提供されているかということについて、現状分析と比較法研究をすることとしており、実際に、それらを主として文献ベースで行った。その際に、特にこの分野での先進的役割を果たしている米国について、制度と判例を整理してわが国への示唆を得ることを意識した。それらの成果については、まず、令和４年９月に開催された神戸大学商事法研究会にて、質疑応答を行う形で発表することができた。さらに、本研究は起業の促進や事業の継続向けた最適な法スキームの提案を目的としている。この点につき、非常に重要な示唆をもたらすと予想される米国の判例を分析した。これは、パートナーシップという形で共同事業を実施している中で、一方当事者の利益相反行為により共同事業が破綻したという事例であり、他方当事者の保護に対してパートナーシップ法では限界があること、ならびにＬＬＣを積極的に用いるべきとの議論があること等が理解できた。また、ある事業そのものではなく、その完成に向けた共同作業について、わが国でも民法上の組合法理を用いることで、一方当事者の善管注意義務違反を導くことができるのではないかという問題提起を行い、これらについて、令和５年３月刊行の広島大学法科大学院論集１９号において公表した。
