取締役の責任は、その有無についても、またその大きさについても、(イ)損害の填補と(ロ)違法行為の抑止という、二つの要請と調和したものとなっていることが、法のあるべき姿である。取締役が実際に負担する責任の有無または大きさは、(1)義務違反があったかどうかというレベル、(2)因果関係があったかどうかというレベル、(3)損害額をどのように算定するかというレベル、(4)賠償額を填補することを目的とする保険が認められるかどうかというレベル、(5)立法論としてではあるが、取締役の責任を免除・制限するような会社の自治はどこまで認められるべきかというレベル、さらに(6)取締役の責任を追及する訴訟において和解が認められるかというレベルなど、多面的なレベルで調整されうる。これらのレベルは、個別的検討が必要であるとともに、相互に関連性が認められ、これらを全体として総合的・有機的にとらえる視点が必要である。わが国の現行の理論をこれらの各レベルでそのまま用いると、前期2つの要請との調和という視点から考えて、実際上取締役の責任が過大となる場合が多いのではないかと思われる。結果的に責任の有無および大きさが適正なものとなるよう、上記のレベルのいずれかで、理論的には相当の無理をしていると思われる裁判例が少なくない(特に閉鎖会社の場合)。例えば(1)のレベルで取締役の経営判断を尊重するべき解釈論を深めるとともに、(5)のレベルにおいて、現行法よりも柔軟に、会社の自治で取締役の責任を免除・制限しうる立法措置を検討するというように、前記各レベルの相互関連性に留意しつつ、わが国の会社法全体として、取締役に適正な責任を負担させるための解釈上・立法上の手当てが必要であろう。
