项目摘要

本研究は、第二次世界大戦後の社会主義化の中でいったんは消滅した同族企業が、国家から同族への財産の返還によって再興された同族企業が少なくないという事実を前提としている。もちろん国営企業から同族企業の再転換は平易な道のりではなかったのも事実である。そこで本研究は以下のような研究目標を設定した。すなわち、東欧の旧社会主義諸国における創業一族の企業経営への再参画において、①創業家の復帰とそれに伴う従業員の創業家に対する受容プロセスの検証、②創業家の企業復帰の成功・失敗要因の判別、③主に企業統治の側面において、正統性がどのように生まれ、組織内部でそれがどのように機能するのか、である。特に重視するのは、同族経営には、企業の私物化とコンフリクトの発生というリスク要因が横たわっており、経営が成立するにはそれを防ぐ仕組みが組み込まれている必要がある点である。わが国の企業に対する研究では、田中一弘（2014）が『良心から企業統治を考える』で「良心」を鍵として企業統治を検証した。田中の研究は日本企業における事例ではあるが、各国の事例を見ていくと「良心」は一般的に創業家が保持しようとしている行動する際の動機であるとも考えられる。つまり、同族による企業経営が成立するためには、企業の私物化とコンフリクトの発生を何らかの仕組みで抑え、その仕組みが意思決定や組織運営で有益な結果をもたらさなくてはならないのである。同族の復帰事例では、明らかに「良心」が作用している事例がある。代表者の堀口は、その事例を学会で発表した。本年度はコロナ感染症の蔓延による現地におけるヒアリング調査が難しいという前提で、検証を進めていたので、文献を中心に調査した。結果、本年度の業績としては、論文2本、ワーキングペーパー1本、発表3回となっている。
