项目摘要

本研究の目的は、①買収企業の過去の買収、部門再編、ジョイントベンチャー(JV)やアライアンスなどの活動領域改革の経験が、買収後のターゲット企業の部門再編に与える影響と②買収後のターゲット企業の事業再編が買収価値の創出に与える影響を明らかにすることである。本年度は、買収における企業経験のスピルオーバー効果を取り扱った先行研究を整理し、今後のデータベース拡充のための経験変数と買収成果の変数を明らかにした。経験変数に関して、先行研究では買収経験が最も注目されており、次にアライアンス・JVの経験が扱われる傾向であった。先行研究では、これらの経験は買収のプロセスや成果に影響を与えるという認識が一般的になるつつある。最近では、売却経験に注目する研究も出てきている。ただし、売却経験と買収の関係に関しては、影響メカニズムは未だ十分に理解されておらず、現在の重要な課題となっている。また、最近の研究動向では、買収企業が経験を活用するためのモチベーションや環境条件を探索が重要視されつつある。この点に関して、先行研究では、企業が経験を買収に応用するためのプロセスを人的資源管理論や心理学の理論を援用することで明らかにする分析が増えている。買収成果の変数に関しては、従来ではアカウンティングやファイナンス上の指標が一般的であったが、最近では事業売却、特許取得率、売上に占める新製品開発率などの多様な指標が提案されていることがわかった。経験要因が多様化するにつれて、それらの影響を測定するための指標を拡充する傾向にあった。以上の論文整理により、今後のデータベースの構築においてより広範な経験変数と成果変数の取得が必要であることが判明した。
