本年度は、国際的企業結合の法的規制について、次の二つの視点から研究をすすめた。すなわち、第一は、内国経済法の域外適用であり、第二は、内国裁判所における外国経済法の適用である。第一の内国経済法の域外適用については、西ドイツ競争制限禁止法98条2項の適用問題を素材に研究をすすめた。その結果、西ドイツの域外適用論においては、近時にいたって、外国の競争政策や外国企業との利益抵触が認識されるにいたり、競争制限禁止法の域外適用の制限法理として国際法上の不干渉義務が注目されていることが理解された。アメリカ反トラスト法の域外適用については、コピーもしきれないほどの資料があり、現時点では未消化におわった。第二の内国裁判所における外国経済法の適用については、西ドイツ法を素材とした研究報告を関西国際私法研究会11月例会において行なった。西ドイツにおいては、この問題につき、統一的連結説 (契約準拠法説) 、特別連結説、統一的連結と特別連結との複合説があることが理解された。現在は、この問題に関するフランスの判例・学説を研究中である。この問題については、平成元年度に金沢法学へ論文を提出する予定である。国際的企業結合の法的規制という問題は、経済法、国際法、国際私法の三法領域にまたがるものであり、この問題全体については、アメリカ法の膨大な判例数もあって、定見を得るにいたらなかった。しかし、前記第二の視点からの論文が1年以内に完成しそうであるし、本研究全体についてもアメリカ法の検討がすみしだい論文を完成させるつもりである。
