研究計画上三年目たる本年においては、特に現代中国における制度運用諸形態、また企業文化について歴史的な見通しの中で位置づけようとする作業が行われた。特に森・濱田松本法律事務所の石本茂彦弁護士、北京世澤法律事務所の姫軍弁護士の協力を得て、実務上問題になる幾つかの興味深い局面を知り、歴史的な解明を試みた。第一に、中国において法制上存在する、或る株主による株式売却時の他株主の優先買い取り権が、株式市場の機能の在り方及び企業買収の在り方に、大きな影響を与えている。伝統中国に存在した土地売買時の親族・近隣居住者に存在した「先買権」に表面上類似する制度であるが、この伝統的先買権自体がもった社会編成上の意義が充分に解明されていない中で、一方において伝統的な土地売買関係の史料を利用する中でその先買権が土地市場の成否と如何なる関係に立つたかの分析を試み、他方において現代中国における株式売買の在り方についての知見を深めようとした。前者については、『東京大学法科大学院ローレヴュー』に、"The Functioning of a Land Market in Qing South China : Comments on a Set of Guangdong Land Deeds"と題する論文を発表し、土地市場の成否が地縁・血縁的諸団体の地域的な戦略において意義を異にする複数の種類の土地について異なる取引上の考慮がはたらくことを論じた。第二に、中国における企業法実務上、何処で裁判をたたかうかについて、米国におけるForum Shoppingに近い現象が存することを見出した。このこととの関連において、企業の地域性と地域的諸団体の複数の構成原理について研究を進め、<是信託還是法人?中國宗族財産的管治問題>、《歴史人類學學刊》、第七卷第二期という論文を発表している。これらを踏まえ、企業買収の局面に絞った研究の端緒としたい。

The purpose of this study is to study and draw a picture of the use of the modern Chinese financial system in the past three years and the history of corporate culture in China.
