ロシアに代表される旧ソ連諸国(NIS諸国)の市場経済化の道のりは、そのソフトの側面、金融インフラの確立からみてもまだまだ遠く、それは日ロ合併企業、現地法人の設立・運営の大きな障害となっている。それは今だ解決されることなく、たとえばロシア連邦X市の2つの日ロ合併企業のトラブルに現われている(系争中)。これらの問題は次の諸点に整理される。1.会計制度の権力の綱引きを財務省(大蔵省)、中央銀行、国税庁、保険庁が行い、統一された会計制度ができていないこと、また旧ソ連時代と違って各種権限の綱引き現象がみられ、日本側の対応が苦慮されること法制度が整備されていないため、法律相互間で矛盾し、さらに法解釈も統一されていないこと、2.法で定められても実行ができないことが多い(たとえば有価証券報告書を作成することが法によって義務づけられても、それを担当する部署が政府に設けられていない)、また税制と会計制度の矛盾、3.公認会計士が国家資格化されてまだ2〜3年であり、能力あるロシア人(及び旧ソ連諸国人の)会計士が少なく、外国企業が安心して合併企業等を設立できないこと、4.今まで旧ソ連では会計人の地位は絶対的に低く、公認会計士のみならず、広く様々な会計人層が育成途上であるということ。ロシア財務省会計方法論局長によればあと15年程度、国際化への道のりに要するであろうということである。また、ロシアのみならずNIS諸国の段階は様々である。たとえばウズベキスタンが最も進んでいる。ロシア及びNIS諸国と取引を今後行うには、それぞれの細かな規定の研究と相互理解が必要である。
