项目摘要

本研究は、クロスボーダーM&Aにおけるオープンイノベーションの在り方について検討することを目的としている。具体的には、トヨタグループに属する企業を研究対象として、それらの企業がグローバル展開する際に、どのような手段やプロセスによって、実施しているのかという課題について検討している。その手段として、自力によるグリーンフィールド展開や他企業の買収というクロスボーダーM&Aなどが考えられる。また、グリーンフィールドやクロスボーダーM&Aによるグローバル展開が、新事業開発や新製品開発などを含むオープンイノベーションをどのように実現しているのかという課題についても検討を加える予定である。今年度は、トヨタグループの事業やサプライチェーンの再編についての研究調査をまとめることができた。企業を取り巻く環境変化の激しい現在において、企業対企業ではなく、サプライチェーン対サプライチェーンの競争を繰り広げている。したがって、企業がグローバル展開を図る際にも、自社が属するサプライチェーン全体を考慮する必要がある。2000年以降、トヨタグループにおいて、トヨタ自動車とグループ内の自動車部品メーカー（サプライヤー）との資本関係は、全般的にはあまり大きく変化していない。しかし、グループ内企業同士の合併や買収によって、再編が進んでいる企業も存在してる。トヨタグループは、事業の重複の整理や、事業間の相互作用（シナジー効果）を狙った再編を推し進め、グローバルレベルの競争に対応してきたといえる。さらに、近年では脱炭素にいかにして対応するのかという課題も、事業のグローバル展開やサプライチェーンの再編にとって重要となっている。今年度は、トヨタグループにおける脱炭素戦略についてもまとめることができた。
