项目摘要

本年度に実施した研究は以下の通りである。1.前年度に引き続いて日本企業のM&Aに関するデータベースの構築作業を行った。とりわけ財務データとのマッチングの可能性を重視して、少なくともM&Aの当事者企業のいずれかが上場企業であるケースをサンプルとして優先的に取り上げ、こうした企業のM&Aについて、M&Aの形態(合併・買収か営業譲渡か)、M&Aの発表日、などの情報をデータとして入力した。さらに、海外企業による日本企業に対するM&Aのデータなどについても前年度同様にデータベースに加えた。2.サンプル企業について、コーポレート・ガバナンス関係のデータセットを作成した。具体的には株式所有構造や取締役構造、負債構成など財務データ、株価、といったデータに関するデータベースを構築した。3.日本企業のM&Aに携わっている実務家にインタビューを行い、現在のM&Aの状況やその特徴、問題点などについての情報を収集した。4.急速な収益の低下に直面している企業が収益改善に必要なリストラクチャリングを実施する可能性と、メインバンク関係などコーポレート・ガバナンスの関係について、実証分析を行った。以上の作業を通じて主に以下の点が明らかになった。・企業間の事業再編の進展の程度の差に対して、コーポレート・ガバナンスの要因が影響している可能性がある。具体的には、1990年代において、メインバンク関係が強い企業の中で急激な収益の悪化に直面している企業ほど、速やかなリストラクチャリングを実施していないことなどが実証的に明らかとなった。
