项目摘要

これまでのコーポレート・ガバナンスは株式が薄く広く分散した企業において、いかにして経営者を規律付けるのか、ということを中心に研究を行ってきた。しかしながら、近年、先進国においてもこのような前提が当てはまらない企業が、一族企業を中心に多くあることが報告されている。日本の上場企業にも創業者一族が多くの株式を保有している企業、経営に参加している企業があることは知られている。しかしながら、その全容、業績などに関する研究はあまりされてこなかった。そこで、本研究は東名阪の証券取引所に上場している企業全社をサンプルとして、創業者一族による株式保有、経営への参加状況を調査した。その結果、全体の約35%の企業において、創業者、もしくは子孫が社長もしくは会長として経営に関わっていることがわかった。また約25%の企業において、創業者一族関係者が社長もしくは会長として経営にあたり、なおかつ最大株主であることがわかった。これらの企業のパフォーマンスを非一族企業と比較すると創業者が経営を行っている企業のパフォーマンスは非一族企業と比べて、有意に優れていた。また、創業者の引退後、創業者一族が所有もしくは経営のみを行っている企業のパフォーマンスは非一族企業と比べて、有意な差はみられなかった。しかしながら、創業者の引退後、創業者一族が所有と経営を同時に行っている企業のパフォーマンスは非一族企業よりも有意に劣っていた。これらの結果は創業者の引退後、所有と経営の分離がなされない一族企業はこれまで問題とされてきた株式が広く分散している企業よりも深刻なコーポレート・ガバナンス上の問題を抱えていることを示唆している。
