敵対的買収の対象となった会社の取締役がどのように行動すべきかという問題が、イギリスではどのように扱われているかを検討するため、平成16年7月15日より平成16年9月16日まで、ロンドン大学IALS (Institute of Advanced Legal Studies)にてイギリス法の調査・研究を行った。現地での調査・研究にあたっては、イギリスにおける企業買収法として位置づけられるCity Codeを主な調査・研究対象とし、比較法的観点からその特色を把握することを主な目的とした。1.City Codeの概要City Codeは、規制の理念に関する10の原則(General Principals)と規則および手続に関する38のルール(Rules)から構成される。原則ではCity Codeの基本的理念が述べられ、対象会社の同じクラスの全株主が買収者によって平等に扱われなければならないことや、企業買収の際における情報提供に関する株主間の平等的取扱いの要求、強制的買付の概要などが述べられているが、注目されるのは、アメリカにおける企業買収規制とは方向性が異なっている点である。アメリカでは、対象会社の経営陣がポイズンピル等の防衛措置を講じることが裁判所において一般的に認められているのに対し、City Codeの原則7では、株主総会の承認なしに経営陣が防衛措置を講じることが禁止されている。このようなことから、イギリスにおいては、対象会社の株主が企業買収の結果につき最終的な責任を負うことが期待されているといえる。2.比較法的観点からみたCity Code研究の重要性EUレベルでは、敵対的買収の対象となった会社の取締役が株主の承認なしに防衛措置をとることを禁じる企業買収ディレクティブが2004年3月に正式採択されたが、このモデルとなったものがCity Codeであることから、今後のわが国における企業買収法制のあり方を検討する際のCity Code研究の重要性が増してきたと思われる。
