本研究では、上場企業またはその株主が今日直面している状況のうち、特に重要性が高いものとして、①株主の機関化の進展および②MBOや締出しなどによる退出リスクの高まりを主に取り上げ、①②に伴い生じうる法的問題を分析・検討するとともに、企業価値または株主価値の向上という観点から制度改善の提言を試みる。また、研究開始時以降の状況変化に伴い注目されるようになった上場企業における①②以外の課題についても、適宜取り組むことを予定する。研究４年目に当たる本年度は、引き続き②の点について分析を深めるとともに、①の点にも力を入れた。②の点に関しては、近年実務において特に問題となっている親子上場を題材に、締出しの場面における少数株主保護の観点から、子会社取締役の義務と責任について検討し、その結果を実務家との共著の形で論文として公表した（「親会社のある上場会社における少数株主保護法制の検討」商事法務2313号）。次に、①の点に関しては、機関投資家による上場企業における株主・経営者間のエージェンシー問題解決の重要な一手段とも位置付けられる敵対的買収について、2021年に実際に行われた４件の事例を題材に、理論的な観点からの考察を中心に買収防衛策の有効性の判断枠組みを検討し、その結果を論文として公表した（「近時の裁判例を踏まえた買収防衛策の有効性に関する判例法理の展開」民商法雑誌158巻2号）。以上のほか、上場企業における取締役の報酬規制と任務懈怠責任・経営判断原則の関係について分析するとともに（「代表取締役による各取締役の報酬額の決定と任務懈怠責任」商事法務2297号）、スタートアップ企業を題材に種類株式の利用の可能性を模索し、特に新規上場の場面における複数議決権株式の利用について米国の学説にも触れつつ紹介した（「スタートアップ投資・新規上場と種類株式」ジュリスト1576号）。
