项目摘要

2004年11月26日に改正信託業法が成立し、知的財産権の信託が可能になった。制度変化をイノベーション創出につなげるためには、制度の下で企業・大学・公的研究機関等の研究開発プレイヤーあるいはそれらの連合体において、適正な研究開発体制・技術経営体制(知的財産マネジメント体制を含む)が構築されることが必要である。知的財産信託についてはまだ準備段階にあり、目覚しい成功例は少ないが、一つの具体的態様を提案した上で、知的財産信託の今後の課題について考えることが、本研究の目的である。持続的イノベーションを実現するためには、特許権の存在や権利効力には変更を加えずに、なおかつ特許発明へのアクセスを促進することが求められる。そのための施策として、ある技術分野の特許発明を一つの機関に集めて簡易に個々についてのライセンス契約を締結できるようにするための特許流通機構を構築することが挙げられる。このような特許管理機構の作成においては、次の2つのことが問題になる。1つは、特許管理機構の立ち上げ時期すなわちまだ企業からライセンス収入が入ってこない段階において、有益な特許発明を集めるためには初期投資が必要であり、その資金を何らかの方法で調達しなければならないということである。もう1つは、特許権を特許管理機関と各特許権者の間でどのような形態で結ぶか、ということである。このスキームにおいては、特許管理と運営資金調達をいずれも行う必要があることから、知的財産信託とのアフィニティーが高いと考えられる。そこで、信託機能を利用した特許管理機構のスキームについて検討を行い、法的課題を抽出した。信託機能を利用した特許管理機構の円滑な運営を推進するためには、利益相反取引に関するガイドラインを策定しその基準を明確化することが求められる。
